Hosting Services

These Terms & Conditions govern the hosting services provided by 5Four Digital (“the Agency”) to its clients. By subscribing to our hosting services, you agree to the following terms.

1. Description of Hosting Services

5Four Digital offers hosting services as an official Webflow partner, utilizing Webflow’s infrastructure to deliver reliable, secure, and efficient hosting solutions. The hosting services are divided into three primary packages, each with specific features and service limitations:

  • Basic Package: Includes Webflow hosting, SSL certificate, CMS item management, and up to 3 minor task requests per month.

  • Business Package: Includes all Basic features, enhanced task requests (up to 10 per month), and access to the Task Submission Hub and ClientOS for streamlined task management and project monitoring.

  • 5Four Unlimited: This plan provides unlimited task requests, including custom development and design enhancements, as well as priority access to ClientOS and task management support.

2. Task Management and Service Limitations

Basic Package

  • Eligible Tasks: Any minor tasks include adding or removing text, replacing images, or updating CMS items. Significant tasks include creating new layouts, restructuring page designs, or adding custom-coded features.

  • Excluded Services: Any significant tasks, including major redesign, structural changes, and custom design and/or development, are not covered under the Basic package and are billed separately at $275/hour.

  • Disputes about task categorization will be resolved through discussions with the client manager.

  • Task Request Limit: The Basic package includes up to 3 task requests per month. When this limit is reached, clients may:

    • Defer additional requests to the next month’s quota,

    • Upgrade to the Business Package or

    • Choose to have the extra tasks completed within the current month at a rate of $275/hour without needing to upgrade.

Business Package

  • Eligible Tasks: Any minor tasks include adding or removing text, replacing images, or updating CMS items. Significant tasks include creating new layouts, restructuring page designs, or adding custom-coded features.

  • Excluded Services: Any significant tasks, including major redesign, structural changes, and custom design and/or development, are not covered under the Basic package and are billed separately at $275/hour.

  • Task Request Limit: The Business Package includes up to 10 task requests per month. After reaching this limit, clients may:

    • Defer further requests to the following month’s quota,

    • Upgrade to the 5Four Unlimited Package, or

    • Choose to have the additional tasks completed within the current month at a rate of $275/hour, without upgrading.

5Four Unlimited Package

  • Eligible Tasks: All tasks covered by the Basic and Business Packages, with an additional allowance for custom development and design.

  • Unlimited Task Requests: Clients in the 5Four Unlimited Package may submit unlimited requests, which are processed sequentially.

The Agency reserves the right to decline requests that exceed the monthly task limit if the client chooses not to upgrade their package or pay the hourly rate for additional tasks.

3. Client Responsibilities

Clients are responsible for the following:

  • Task Submission: All task requests must be submitted via TaskOS, the agency's task management system. In the event of TaskOS or ClientOS outages, clients may communicate directly with their dedicated client manager via email.

  • Request Documentation: Clients should provide a clear brief and relevant collateral for each request. The Agency reserves the right to request additional information if a submission lacks the necessary context or details to complete the task.

  • Content Responsibility: Clients are solely responsible for the content submitted to the Agency for hosting or task requests. The Agency shall not be liable for any copyright infringement, inaccuracies, or legal issues arising from client-submitted content. Clients are responsible for ensuring their content complies with all applicable laws and does not infringe on third-party rights.

4. Turnaround Time

5Four Digital aims to complete all standard task requests within an average of 72 hours. However, requests submitted on weekends or holidays may require additional processing time. Tasks requiring significant development or design work may exceed the 72-hour average turnaround time. In such cases, the client will be notified of the expected timeline.

5. Billing and Payment Terms

  • Auto-Renewal: Hosting services are set for automatic renewal on a monthly basis. Clients must maintain an active subscription and timely payment to continue receiving services.

  • Payment Delays: Invoices not paid within 15 days of the due date may result in suspension of task requests. Extensions may be granted upon written request, subject to Agency approval.

  • Recurrent Payment Delays: If there are ongoing payment delays, the Agency may terminate the hosting agreement and transfer the site ownership to the client, who will be responsible for self-hosting. Outstanding invoices must be cleared before site transfer.

6. Cancellation and Refund Policy

  • Immediate Cancellation: Clients may cancel their hosting service anytime, provided their subscription is active and in good standing.

  • No Refunds: No refunds are provided for any unused portion of the current billing cycle upon cancellation.

  • Transition to Self-Hosting: Upon termination of hosting services, the client shall be responsible for transitioning to self-hosting. Any outstanding invoices must be paid in full before the transfer of site ownership. The client is required to create a Webflow account, and the Agency will facilitate the transfer of the website to the client’s Webflow hosting account. Upon completion of the transfer, the client assumes full responsibility for maintaining the website, and 5Four Digital shall be released from any and all further obligations or liabilities relating to the website.

7. Upgrade and Downgrade Policy

Clients may upgrade or downgrade their hosting package at any time. However:

  • No refunds will be provided for any unused portion of the current billing cycle upon downgrade.

  • Package changes take effect immediately upon the start of the next billing cycle unless otherwise agreed upon in writing.

8. Communication and Support

  • Primary Communication Channel: The primary communication channel is email. However, all task requests must be submitted via TaskOS, the agency's task management system.

  • Dedicated Client Manager: Each client has a dedicated client manager who serves as their main point of contact for service-related questions or escalations.

  • Response Time: The Agency aims to respond to all task requests within 48 to 72 business hours.

9. Ownership of Intellectual Property

The Agency's deliverables through task requests are considered the client's intellectual property. Ownership of deliverables will transfer to the client upon receipt of full payment for the associated hosting services if there are any outstanding balance to settle.

10. Data Security and Privacy

5Four Digital utilizes Webflow’s hosting infrastructure, and as such:

  • Subscribing to the Agency’s hosting services means the client agrees to Webflow’s Terms of Service, which govern hosting policies and infrastructure. Clients can review these terms at https://webflow.com/legal/terms

  • The Agency guarantees hosting uptime consistent with Webflow’s hosting performance standards. Clients may refer to Webflow’s SLA at https://webflow.com/legal/terms for detailed uptime metrics and performance guarantees.

  • The Agency maintains confidentiality as per U.S. regulations but is not liable for data breaches, service outages, or other issues within Webflow’s control.

  • The Agency follows industry-standard practices, including periodic security audits and monitoring, to protect client data.

11. Limitations on Liability

As a Webflow partner, 5Four Digital disclaims any liability for Webflow-related performance issues, outages, or data breaches. Clients agree to Webflow’s terms regarding liability and service limitations. 

While the Agency disclaims liability for Webflow-related performance issues, it will provide reasonable assistance to clients in coordinating with Webflow support to address such issues.

12. Modification of Terms

The Agency reserves the right to modify these Terms & Conditions. Any significant changes impacting service will be communicated to clients.

13. Governing Law

The laws of the State of Florida govern these Terms & Conditions. Disputes shall be resolved through binding arbitration in the State of Florida or, at the client’s request, through virtual arbitration following the rules of the American Arbitration Association.

14. Force Majeure

Neither the Agency nor the client shall be liable for any failure or delay in performance due to causes beyond their reasonable control, including but not limited to acts of God, war, pandemic, internet outages, or restrictions imposed by government authorities.

15. Service Suspension

The Agency reserves the right to temporarily suspend hosting services for scheduled maintenance and updates in case of unforeseen technical issues. Clients will be notified of scheduled downtimes in advance whenever possible. Emergency maintenance may occur as needed to ensure system integrity.

16. Data Backup and Recovery

5Four Digital will maintain regular backups of website content and data as part of the hosting services. In the event of data loss, the Agency will make reasonable efforts to restore data from available backups but is not liable for any potential data recovery limitations. Additional recovery support may incur additional charges if needed.

17. Dispute Resolution

In the event of a dispute, both parties agree to attempt resolution through good-faith negotiation. If unresolved, the dispute shall be submitted to binding arbitration in the State of Florida, following the rules of the American Arbitration Association.

18. Limitation of Remedies and Indemnification

The Agency’s liability shall be limited to the monthly amount paid by the client for the hosting services. The client agrees to indemnify and hold the Agency harmless from any claims arising from the client’s use of the website, content violations, or misuse of services.
